Terms of Service

This is a courtesy translation. The French version is authoritative; in case of discrepancy, the French text prevails.
1. Service operator
Cargavo is a subscription-based transport management system (TMS) for freight brokers and transport commissionaires, provided at app.cargavo.com. The service is operated by PROSPERON SOLUTIONS, a French simplified joint-stock company with a sole shareholder (SASU) with share capital of €3,000, registered with the Lille Métropole Trade and Companies Register under number 931 132 351, registered office at Euralille, appartement 1607, 83 avenue Willy Brandt, 59800 Lille, France, intra-community VAT number FR86931132351. 2. Scope & acceptance
These terms govern access to and use of the service. By creating an account or using the service, you accept them on behalf of your organization and confirm you are authorized to bind it. The service is intended for professionals only; it is not aimed at consumers.
3. Accounts & organizations
You are responsible for the accuracy of your account information, for safeguarding your credentials, and for the activity of the members and customer users you invite into your organization. Each organization sees only its own data; purchase prices and margins are never exposed to your customers.
4. Subscriptions, trial & renewal
Plans are subscribed for a one-month term, payable in advance, and include a 14-day free trial with no payment method required. After the trial, and at each renewal date, the subscription renews automatically for successive one-month periods unless cancelled. You can change plan (upgrade or downgrade) or cancel at any time from the billing settings or by email. Cancellation takes effect at the end of the current period; no pro-rata refund is due for a period already started.
5. Prices, payment methods & direct debit
Prices are shown excluding VAT and billed in euros. The first term is paid by card, through the secure payment page of our provider Stancer, with 3-D Secure authentication; no card data is stored by Cargavo. Subsequent terms are collected by SEPA direct debit under a mandate you sign; until a mandate is in place, renewal is completed by a new card payment at the renewal date. An invoice is issued for each term. If a payment fails or is rejected, access to the service may be suspended after a grace period and a reminder; amounts due remain payable.
Prices may change; any change is notified at least 30 days in advance and applies from the next renewal. The price agreed at subscription remains applicable until then.
6. VAT
Value added tax is added to the invoice based on where the professional customer is established:
- Customer established in France: French VAT at the applicable rate (currently 20%).
- Customer established in another EU member state: French VAT is not charged only if the customer provides a valid intra-community VAT number (verified via the VIES system). The invoice then bears the note “Reverse charge — Article 196 of Directive 2006/112/EC” and the customer is liable for VAT in their country. Without a valid number, French VAT applies.
- Customer established outside the EU: the service is outside the scope of French VAT; no French VAT is charged.
The customer is responsible for the accuracy and currency of its intra-community VAT number. Any tax, penalty or interest due because of incorrect or outdated information remains the customer’s responsibility.
7. Your data
Your organization retains all rights to the data it stores in Cargavo (customers, carriers, rate grids, quotes, shipments). We process it only to provide the service, as described in the Privacy Policy. You can export your data at any time and request deletion after cancellation.
8. Acceptable use
You agree not to misuse the service — including attempting to access other organizations’ data, reselling the service without authorization, reverse engineering, sending spam through it, or using it in violation of applicable law.
9. Availability & support
We aim for high availability but the service is provided “as is” without a guaranteed uptime level in v1. Support is provided per plan (email, priority or dedicated). We may perform maintenance with reasonable notice where possible.
10. Liability
Cargavo computes prices from the rate grids and margin rules your organization configures; you remain responsible for verifying quotes before sending them and for your commercial commitments. To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by your organization in the 12 months preceding the claim.
11. Disputes & refunds
As our customers act as professionals, the right of withdrawal applicable to consumers does not apply. Amounts paid are non-refundable, except where required by mandatory law or agreed in writing by us. Before disputing a debit with your bank, contact us at contact@cargavo.com to resolve the matter. As the customer is not a consumer, the parties agree to derogate, to the extent permitted by Article L133-2 of the French Monetary and Financial Code, from the non-mandatory provisions governing payment transactions.
12. Termination
You may cancel at any time from the billing settings. We may suspend or terminate accounts for material breach of these terms after notice. Upon termination, data is handled as described in the Privacy Policy.
13. Governing law & jurisdiction
These terms are governed by French law. Any dispute regarding their validity, interpretation or performance falls under the exclusive jurisdiction of the courts of the operator’s registered office, subject to applicable mandatory rules.
